Corporate/Commercial Solicitor (Maternity Cover)
Dragon Argent is a rapidly growing SRA-regulated professional services firm that specialises in working with high potential SMEs. We have four core disciplines in advisory, accountancy, legal and tax which we deliver to clients through quality guidance and joined-up expertise at each stage of business growth.
The main focus of your role is to free up founders/our clients by becoming a key and trusted partner, allowing them to focus on what they do best.
This role requires you to both manage the delivery of quality legal services to our clients and be actively involved in the business development of the department. Your role is a mix of office and home working, with our office based at London Bridge.
This role is a maternity cover position starting in March / April 2025.

Client Facing Duties
Manage own caseload with minimal to no supervision required.
Provide expert commercial and corporate advice to our clients alongside the other advice offered by the rest of the firm.
Draft, negotiate, maintain and review a variety of commercial contracts including master service agreements, terms and conditions and supplier agreements.
Advise clients on and oversee investment rounds, share allotments, share sales, asset sales and other company reorganisations and restructuring and drafting and negotiation of all documents including sale agreements, shareholders’ agreements and articles of association etc.
Advise on and draft all relevant documents in relation to employee share schemes.
Proficient understanding and ability to provide advice on (S)EIS and submit advanced assurance applications and post investment S(EIS) applications.
Draft, maintain and review corporate consents and board minutes.
Provide bespoke corporate advice on founder exits.
Proficient understanding and ability to provide basic advice confidently on data protection and UK GDPR issues and able to draft related documentation.
Build and manage positive client relationships.
Be seen and trusted by clients through regular, proactive communication.
Deliver pragmatic, business-oriented solutions to problems and resolving disputes presented by our clients efficiently and effectively.
Assisting with ad hoc internal and external corporate and company secretarial matters.
Internal Duties
Communicate any key department and client information with the wider team.
Have the trust and respect of staff, offering support when needed.

Add to, update and manage corporate and commercial templates in line with changes in legislation, procedures, and best practice.
Providing technical expertise and guidance to other team members in relation to corporate and commercial law.

To increase the awareness in the market of who we are and what we do, we ask that everyone in the company contributes in some way, whether by creating content, attending events or hosting or speaking on webinars, panels and seminars.
Identify opportunities to grow business with existing clients.
Assist in discovery calls and drafting proposals and scope of work for projects and clients.
Contribute to marketing of the legal department and wider firm by producing at least one piece of content per quarter.
Identify and undertake business development opportunities.
Build internal and external networks.
Attend networking events.

Qualified Solicitor in England and Wales.
Highly diligent and organised.
Confident and self-motivated - can work on your own initiative without the need for constant supervision and direction.

Able to manage client expectations and project manage matters when needed.
Able to train and supervise paralegals and trainees.
Technically proficient in corporate and commercial law but also commercially minded and solution orientated tailored to our clients.

Excellent English – written and verbal communication skills and attention to detail.
